Quality Assurance and Product Liability Agreement
_____________________ (hereinafter referred to as “SELLER”) agrees to provide the quality assurance and product liability for the materials, parts, and finished products (hereinafter referred to as “PRODUCT”) manufactured and sold to _____________________ (hereinafter referred to as “BUYER”) as set forth in the following Articles.
Article 1. Purpose
This Agreement is an addendum to the principal Contract as agreed by
SELLER and BUYER and will serve to provide the quality assurance of PRODUCT
by the conditions and requirements as set forth hereto, which shall be
complied and observed by both SELLER and BUYER to develop and improve the
respective businesses of both parties.
Article 2. Assurance
SELLER agrees to provide a reliable quality assurance on PRODUCTs manufactured
and sold to BUYER and further agrees to fully satisfy the quality assurance
as required by BUYER.
Article 3. Requirements
1. BUYER shall clearly define and specify the requirements for the quality assurance to be provided by SELLER on the “Quality Assurance Specification Document” attached to this agreement.
2. BUYER shall promptly notify SELLER of any changes, modifications,
or additional items made on the Quality Assurance Specification Document
to SELLER. SELLER shall in timely manner comply with the new quality assurance
requirements specified by the notice from BUYER by revising, supplementing,
or wholly replacing the Quality Assurance Specification Document with the
new or the latest Quality Assurance Specification Document, and shall act
upon the new requirements to be reflected on the quality assurance within
a reasonable period of time. Further, SELLER shall make necessary measures
or provisions to deal with inventory, modifications to fixtures, and revisions
to standardizations, etc. which are not affected by the changes, modifications,
or additional items made on the Quality Assurance Specification Document
and which falls beyond the control and the responsibility of BUYER.
3. SELLER shall inquire to BUYER any questions about the Quality Assurance
Specification Document for clarification, when needed.
4. SELLER shall make appropriate measures to prevent the loss and damage to the Quality Assurance Specification Document received from BUYER, and shall return the Document at the end of its use or when it is replaced with a new Quality Assurance Specification Document. |
